Terms of Service

2.1 Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By creating an account, you confirm that you meet these requirements.

2.2 Account information

You must provide accurate, current, and complete information when registering. You are responsible for keeping this information up to date. You may not create an account using a false identity or impersonate another person or company.

2.3 Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at legal@vigil.chat if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from your failure to maintain account security.

2.4 One account per person

Each individual may maintain only one account. Creating multiple accounts to circumvent plan limits or abuse credits is prohibited.

3.1 Permitted uses

You may use the Service to create AI chat assistants for legitimate business purposes, including customer support, lead capture, information delivery, and appointment booking.

3.2 Prohibited uses

You may not use the Service to:

• - Violate any applicable law, regulation, or third-party rights
• - Distribute spam, phishing content, or deceptive material
• - Harass, threaten, or harm individuals
• - Create bots that impersonate real people, companies, or governmental authorities in a misleading way
• - Generate or distribute illegal content, including content that exploits minors
• - Spread misinformation, propaganda, or deliberately false information
• - Circumvent, disable, or interfere with security-related features of the Service
• - Probe, scan, or test the vulnerability of the platform without written permission
• - Use automated means to access the Service in a way that exceeds reasonable use or disrupts service for others
• - Reverse engineer, decompile, or attempt to extract the source code of the Service
• - Resell or sublicense access to the Service without authorization
• - Upload content that infringes third-party intellectual property rights
• - Use the Service in any industry or application where AI failures could cause direct physical harm (e.g. medical diagnosis, emergency response, autonomous vehicles)

3.3 Content responsibility

You are solely responsible for all content you upload to the knowledge base, all configurations of your bots, and all interactions your bots have with end users. We are not responsible for the accuracy, completeness, or appropriateness of bot responses generated from your content.

3.4 AI limitations disclosure

You acknowledge that AI-generated responses may occasionally contain errors, inconsistencies, or inappropriate content despite our guardrails. You are responsible for monitoring your bot's behavior and should not deploy Vigil bots in contexts where errors could cause harm or significant business damage without appropriate human oversight.

4.1 Ownership

You retain all intellectual property rights in the content you upload to the Service ("Your Content"). These Terms do not transfer ownership of Your Content to us.

4.2 License to us

By uploading content, you grant Vigil a non-exclusive, worldwide, royalty-free license to store, process, and use Your Content solely for the purpose of providing the Service to you. We do not use Your Content to train AI models or share it with other customers.

4.3 Content representations

You represent and warrant that: (a) you own or have the right to use and upload Your Content; (b) Your Content does not violate any applicable law or third-party rights; and (c) Your Content does not contain malware, viruses, or other harmful components.

4.4 Content removal

We reserve the right to remove any content that violates these Terms or that we determine, at our sole discretion, to be harmful, illegal, or inappropriate. We will make reasonable efforts to notify you of such removal.

5.1 Subscription plans

The Service is offered on a per-bot subscription basis. Plans and pricing are described on our Pricing page and may change with notice. Free plan features and limits are subject to change.

5.2 Billing

Subscriptions are billed monthly in advance. All payments are processed through Stripe. By providing payment information, you authorize us to charge you on a recurring basis until you cancel. Taxes may apply based on your location and will be added to your invoice where required.

5.3 Notification credits

Email and SMS notification credits are purchased as one-time payments and do not expire. Credits are consumed per notification sent. Credits are account-wide (shared across all bots). Unused credits are non-refundable.

5.4 Upgrades and downgrades

You may change your plan at any time. Upgrades take effect immediately (prorated). Downgrades take effect at the end of the current billing period. We are not obligated to retain data that exceeds the limits of a downgraded plan.

5.5 Cancellation

You may cancel your subscription at any time from the Billing page. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until then, after which the bot reverts to the free plan.

5.6 Refunds

Subscription fees are non-refundable except where required by law. If you experience a significant service outage caused by our systems, please contact us and we will evaluate refunds on a case-by-case basis.

5.7 Overage charges

If you enable overage on your plan and exceed your monthly message limit, additional messages are charged at the then-current per-message overage rate. You may disable overage at any time from Billing settings, after which your bot will stop responding when the limit is reached.

5.8 Late payment

If payment fails, we will retry the charge and notify you. If payment remains outstanding for more than 7 days, we may suspend your account until payment is resolved.

Program description

Vigil.chat sends SMS notifications to phone numbers you provide in your bot's Notification Settings. Messages are sent for lead captures, order confirmations, and appointment confirmations only — no marketing messages are sent.

Consent and opt-in

By entering a phone number in your Notification Settings and enabling SMS notifications, you consent to receive SMS messages from Vigil.chat. Message frequency varies depending on your bot activity.

Opt-out and help

Reply STOP to any SMS message to unsubscribe. You will receive one confirmation message and no further messages will be sent. Reply HELP to any SMS message for help, or contact us at legal@vigil.chat.

Rates and frequency

Message and data rates may apply. Message frequency varies. Vigil.chat is not responsible for any charges applied by your mobile carrier.

No sharing of mobile data

Mobile information (phone numbers) will not be shared with third parties or affiliates for marketing or promotional purposes. Phone numbers are used solely to deliver the notifications you have enabled.

7.1 Vigil's IP

The Service, including its software, design, logos, trademarks, and documentation, is the intellectual property of Vigil and is protected by copyright, trademark, and other applicable laws. These Terms do not grant you any rights to use Vigil's trademarks, logos, or brand without our written permission.

7.2 Feedback

If you submit suggestions, feedback, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without obligation or compensation to you.

9.1 Availability

We strive to provide the Service with high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or events beyond our control.

9.2 Modifications

We reserve the right to modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of significant changes where practicable. Continued use of the Service after changes constitutes acceptance of those changes.

9.3 Beta features

We may offer beta or experimental features. These are provided "as is" without warranties and may be discontinued at any time without notice.

13.1 By you

You may terminate your account at any time by deleting your account from the dashboard or contacting us at legal@vigil.chat. Termination does not entitle you to a refund of any prepaid fees.

13.2 By us

We may suspend or terminate your account immediately and without notice if we determine, at our sole discretion, that you have violated these Terms, engaged in fraudulent or abusive behavior, or if required by law. We will make reasonable efforts to provide prior notice when possible.

13.3 Effect of termination

Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete Your Content within 30 days of termination; (c) provisions of these Terms that by their nature should survive termination shall remain in effect.

14.1 Informal resolution first

Before initiating any formal dispute, you agree to contact us at legal@vigil.chat and attempt to resolve the issue informally. We will use reasonable efforts to address your concern within 30 days.

14.2 Governing law

These Terms are governed by and construed in accordance with applicable law. Disputes not resolved informally shall be subject to binding arbitration or the exclusive jurisdiction of competent courts, as required by your local law.

14.3 Class action waiver

To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Vigil.

15.1 Entire agreement

These Terms, together with the Privacy Policy and any applicable Order Forms or plan agreements, constitute the entire agreement between you and Vigil regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 No waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by updating the effective date and, where appropriate, by email notification. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

15.6 Force majeure

We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, government actions, internet outages, or failures of third-party services.
